Bảo lãnh đối ứng, bảo lãnh khác mẫu Ngân hàng

Một trong những rủi ro của phát hành bảo lãnh theo mẫu do Khách hàng đề xuất là Hợp đồng cấp bảo lãnh và Thư bảo lãnh không có những điều kiện giống nhau. Điều này dẫn đến Bên thụ hưởng được yêu cầu Ngân hàng thanh toán theo Thư bảo lãnh; nhưng Ngân hàng lại không được yêu cầu Khách hàng thanh toán theo Hợp đồng cấp bảo lãnh. Giải pháp là Đơn đề nghị phát hành bảo lãnh, Hợp đồng cấp bảo lãnh sẽ trích nguyên văn nội dung Thư bảo lãnh theo mẫu Khách hàng.

 4. THIS INDEMNITY IS VALID FROM ISSUING DATE AND SHALL EXPIRE ON …./…/….. YOUR DEMAND, IF ANY, MUST HAVE BEEN RECEIVED BY US ON OR BEFORE THE EXPIRY DATE. THEREAFTER, THIS INDEMNITY SHALL AUTOMATICALLY CEASE TO HAVE ANY EFFECT.

5. THIS INDEMNITY SHALL NOT BE DISCHARGED OR AFFECTED BY ANY ACT OR OMISSION BY YOU OR ANYTHING YOU FILL INTO BRACKETS OF THE PERFORMANCE SECURITY FORMAT OR ANY CIRCUMSTANCE UNLESS EXPRESSLY STATED IN THIS GUARANTEE.

6. THIS INDEMNITY SHALL SUBJECT TO THE UNIFORM RULES FOR DEMAND GUARANTEES, ICC PUBLICATION NO. 458, EXCEPT THAT SUBPARAGRAPH (II) OF SUB-ARTICLE 20(A) IS HEREBY EXCLUDED, AND BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH VIETNAM LAWS.

7. WE CONFIRM TO PAY YOU USD[………….] OF YOUR BANK CHARGE FOR ISSUANCE OF THE PERFORMANCE SECURITY. WE WILL PAY YOU SUCH CHARGE PROMPLY UPON YOUR REQUEST.
